1. General Provisions 1.1 RZ Pellets operates in compliance with European regulations for the production and distribution of wood pellets. 1.2 These Terms & Conditions apply to all quotations, sales agreements, deliveries, and related services unless otherwise agreed in writing. 1.3 Any deviation or additional condition proposed by the Buyer is valid only upon written approval from RZ Pellets. 2. Product Specifications 2.1 All RZ Pellets products conform to established quality standards, including ENplus and EU-certified sustainability guidelines, unless otherwise specified. 2.2 Product descriptions, calorific values, and performance data provided in brochures, packaging, or online materials are for reference and may be subject to reasonable manufacturing variations. 2.3 The Buyer is responsible for ensuring compatibility of RZ Pellets with its heating systems. 3. Orders & Acceptance 3.1 All orders must be submitted in writing (email, purchase order, or through approved platforms). 3.2 An order is considered accepted only upon issuance of a formal Order Confirmation by RZ Pellets. 3.3 RZ Pellets reserves the right to reject or modify orders in cases of limited stock, unforeseen production issues, or pricing corrections. 4. Pricing & Payment Terms 4.1 All prices are quoted in Euro (EUR) unless otherwise agreed. 4.2 Prices may be adjusted due to fluctuations in raw material costs, transport conditions, or regulatory changes. 4.3 Payment terms: Unless otherwise stated, payments must be made in full prior to shipment. Late payments may incur interest charges according to applicable EU commercial regulations. 4.4 RZ Pellets retains full ownership of all goods until payment is received in full. 5. Delivery & Shipping 5.1 Delivery terms follow Incoterms® 2020, unless specified otherwise. 5.2 Delivery timelines are estimates based on production capacity, logistics availability, and external factors such as weather or customs delays. 5.3 Risk transfers to the Buyer upon delivery according to the agreed Incoterm (e.g., EXW, FCA, CIF, DAP). 5.4 Any damage or shortage must be reported in writing within 48 hours of receipt, accompanied by supporting evidence. 6. Packaging & Palletizing 6.1 Standard packaging includes 15 kg bags, big bags, or bulk delivery depending on the order. 6.2 Packaging and pallet configurations follow RZ Pellets’ standard specifications unless otherwise required by the Buyer. 6.3 The Buyer is responsible for proper storage of pellets (dry, ventilated conditions). RZ Pellets is not liable for damage resulting from improper storage or handling. 7. Quality Assurance & Claims 7.1 RZ Pellets ensures that all products undergo rigorous quality control procedures. 7.2 Any quality-related claim must be submitted in writing within 10 days of delivery, including test results, photographs, and batch numbers. 7.3 RZ Pellets reserves the right to inspect or test the product before approving replacements or refunds. 7.4 Liability is limited to the replacement of defective goods or credit for the value of the defective portion. Indirect, consequential, or operational losses are not covered. 8. Warranties & Limitations of Liability 8.1 Products are warranted to match the specifications listed in the Order Confirmation. 8.2 RZ Pellets is not responsible for: Damage caused by improper storage or use Equipment malfunctions unrelated to pellet quality Losses due to heating system performance 8.3 The Company’s maximum liability is limited to the invoice value of the goods in question. 9. Compliance & Sustainability 9.1 RZ Pellets complies with recognized environmental standards and sustainable forestry guidelines. 9.2 The Buyer agrees to follow all applicable regulations for handling, storing, and using biomass fuel in their region. 10. Intellectual Property 10.1 All trademarks, logos, packaging designs, and promotional materials of RZ Pellets are the exclusive property of the Company. 10.2 Unauthorized reproduction, modification, or distribution is strictly prohibited. 11. Force Majeure 11.1 RZ Pellets shall not be held liable for non-performance caused by circumstances beyond its control, including but not limited to: Natural disasters Industrial strikes Government actions or restrictions Transport disruptions Supply shortages 11.2 In such cases, delivery obligations may be postponed or canceled without penalty. 12. Governing Law & Jurisdiction 12.1 All transactions are governed by the laws of Austria, unless otherwise agreed. 12.2 Any disputes arising from contracts or deliveries shall be resolved in the competent courts of Austria. 13. Amendments 13.1 RZ Pellets reserves the right to update or modify these Terms & Conditions at any time. 13.2 The version in effect at the time of order confirmation shall apply. 14. Acceptance By placing an order with RZ Pellets, the Buyer acknowledges and agrees to the Terms & Conditions outlined above.
